Welcome to Grade Sentry. These Terms of Service ("Terms") govern your access to and use of the Grade Sentry website, application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

3. Registration and Account Security

3.1 Account Creation

To use the Service, you must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and account information. You are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Age Restrictions

The Service is intended for use by adults. If you are registering on behalf of children under the age of 18, you represent that you are the parent or legal guardian of such children and consent to the use of the Service on their behalf.

4. Canvas API Integration

4.1 API Access

The Service requires access to your Canvas account via an API token. You grant us permission to access your Canvas account data using the API token you provide or that is generated on your behalf.

4.2 Limited Use

We will only use your Canvas API token to provide the Service as described. We will not use your Canvas data for any purpose other than providing the Service to you.

4.3 Third-Party Services

We are not responsible for changes to the Canvas API that may affect our Service. While we strive to maintain compatibility, the Service may be temporarily disrupted by Canvas updates or API changes beyond our control.

5. Data Privacy and Security

5.1 Data Collection

We collect information about your Canvas account, students, courses, assignments, and grades. This information is used solely to provide the Service to you.

5.2 Data Security

We implement reasonable security measures to protect your data. However, no Internet transmission is completely secure, and we cannot guarantee the security of information transmitted to or from the Service.

5.3 Data Retention

We retain your data for as long as your account remains active or as needed to provide you the Service. We will delete your data within 30 days after you cancel your subscription, except as required to comply with our legal obligations or resolve disputes.

5.4 Educational Records

If applicable, we comply with the Family Educational Rights and Privacy Act (FERPA) regarding the handling of educational records. We act as a "school official" with a legitimate educational interest in the student data we process.

6. Communications

6.1 SMS Notifications

If you provide your phone number and opt-in to SMS notifications, you agree to receive text messages from us regarding student activities and account updates. Message frequency varies based on student activity. Standard message and data rates may apply.

6.2 Email Communications

You agree to receive emails from us regarding service updates, account information, and student activity notifications.

6.3 Opting Out

You may opt out of SMS notifications by replying "STOP" to any of our text messages. You may opt out of email notifications through your account settings or by following the unsubscribe instructions in our emails.

7. Subscription and Payment

7.1 Fees

The Service is provided on a subscription basis. The fees for the Service are posted on our website and may be changed from time to time. All fees are exclusive of taxes, which may be added where applicable.

7.2 Billing

We bill on a monthly or annual basis, depending on the subscription plan you select. You will be billed in advance for each billing period.

7.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it prior to the renewal date.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.

7.5 Payment Processing

Payments are processed securely through our third-party payment processor. We do not store your full credit card information on our servers.

8. Intellectual Property

8.1 Grade Sentry Property

The Service, including all content, features, and functionality, is owned by us and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use only, subject to these Terms.

8.3 Restrictions

You may not: (a) copy, modify, or create derivative works based on the Service; (b) distribute, publicly display, publicly perform, or sublicense the Service; (c) reverse engineer, decompile, or disassemble the Service; or (d) use the Service in any manner that could damage, disable, overburden, or impair the Service.

9. Prohibited Uses

You may not use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To access Canvas LMS in an unauthorized manner
  • To attempt to probe, scan, or test the vulnerability of the Service or any related system or network
  • To interfere with the proper working of the Service
  • To impersonate or attempt to impersonate our company, an employee, another user, or any other person or entity
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Data Accuracy

While we strive to display accurate information, we cannot guarantee that all data from Canvas will be complete, accurate, or timely. We rely on data from Canvas, and any discrepancies in this data are beyond our control.

10.3 Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

You may terminate your account at any time by following the instructions on the Service or by contacting us directly.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms.

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
